Terms of Service for If Possible

Introduction

Welcome to If Possible. These Terms of Service ("Terms") govern your access to and use of ifpossible.ai (the "Site"), our digital products, live events, group programs, and consulting services (collectively, the "Services") provided by If Possible ("we," "us," or "our").

By accessing the Site, purchasing a Service, or otherwise interacting with us, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

Description of Services

If Possible provides AI coaching and implementation for nonprofit leaders. Our Services include:

• The If Possible Newsletter (free)
• The Nonprofit AI Starter Pack (free)
• The Nonprofit AI Masterclass (free live event)
• The Nonprofit AI Intensive (paid live workshop)
• Mission Ready (self-paced digital product)
• Mission Multiplier (12-week cohort)
• Mission Command (1:1 partnership)

We may modify, suspend, or discontinue any Service at any time, with or without notice.

User Accounts

Some Services require an account. You agree to:

• Provide accurate, complete information
• Maintain the security of your password
• Notify us immediately of any unauthorized access
• Take responsibility for all activity under your account

You may not share your account credentials with anyone outside your organization unless explicitly permitted by your Service terms (for example, seat-based access in Mission Command).

Acceptable Use

You agree NOT to:

• Use the Services for any unlawful purpose
• Reverse engineer, decompile, or disassemble any part of the Services
• Scrape, harvest, or otherwise extract data from the Site or Services using automated means
• Use the Services to build, train, or improve any competing product or service
• Resell, sublicense, white-label, or redistribute any of our content, methodology, templates, AI Teammate definitions, AI System designs, or Mission Brain frameworks
• Share account access with parties outside your nonprofit
• Attempt to bypass any security or access controls
• Use the Services in any way that could damage, disable, or impair the Site or other users' access

Violation of these terms may result in immediate termination of your access without refund.

Intellectual Property

Our IP

The Site and Services contain content, software, design, methodology, frameworks, templates, AI Teammate role definitions, AI System designs, Mission Brain templates, course materials, written materials, trademarks, logos, and other materials (collectively, "IF Content") that are owned by or licensed to If Possible. All rights are reserved.

License to You

When you purchase a Service, we grant you a limited, non-exclusive, non-transferable, revocable license to use the IF Content for your nonprofit's internal use only, in accordance with the specific Service terms. This license does not include the right to:

• Resell, license, or distribute IF Content
• Use IF Content to build a competing product or service
• Remove or alter any copyright, trademark, or proprietary notice
• White-label IF Content as your own
• Make IF Content available to third parties outside your nonprofit

Your Content and Data

You retain ownership of your nonprofit's data, your organization's voice and brand, your donor information, your campaign content, and any custom configurations or knowledge centers you create using our tools ("Your Content"). You grant us a limited license to use Your Content solely to deliver the Services to you.

AI-Generated Output

AI Teammates and AI Systems generate output based on Your Content and our methodology. You own the output produced from Your Content. You are responsible for reviewing, editing, and approving all AI-generated output before using it.

Payment Terms

Payment terms, refund policies, and cancellation rights are governed by our Fulfillment Policy. By purchasing a paid Service, you agree to the pricing and terms in effect at the time of purchase.

AI Tools and Output Disclaimer

Our Services use artificial intelligence to generate outputs, recommendations, and content. You acknowledge and agree that:

• AI-generated output may contain errors, inaccuracies, or omissions
• You are solely responsible for reviewing, editing, and approving all AI-generated output before any use
• AI-generated output is not a substitute for professional advice, judgment, or human decision-making
• We do not guarantee the accuracy, completeness, or appropriateness of any AI-generated output
• You are responsible for compliance with all applicable laws, regulations, and ethical guidelines regarding the use of AI in your organization, including but not limited to data privacy, intellectual property, and disclosure requirements

No Professional Advice

The Services provide educational content, coaching, and AI-powered tools related to nonprofit operations and fundraising. The Services do not provide:

• Legal advice
• Tax advice
• Accounting advice
• Financial advice
• Investment advice

You should consult qualified professionals for advice in those areas. Our coaches and consultants are not attorneys, CPAs, or financial advisors, and nothing in our Services creates an attorney-client, advisor-client, or fiduciary relationship.

Results Disclaimer

Past results do not guarantee future outcomes. Examples of fundraising success referenced in our Services (including the "100+ orgs served" and "$200M+ raised" statistics) reflect aggregate work over our company history. Your individual results will vary based on factors unique to your organization, including but not limited to your team's effort, your mission, your existing donor base, your market conditions, and your implementation of what we teach.

We make no warranty, guarantee, or representation that you will achieve any specific result by using our Services.

Limitation of Liability

To the maximum extent permitted by applicable law:

• The Services are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• In no event shall If Possible, its co-founders, officers, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or business interruption, arising out of or in connection with your use of the Services.
• Our total cumulative liability arising out of or related to these Terms or the Services shall not exceed the amount you paid us for the Service giving rise to the claim during the 12 months immediately preceding the event giving rise to the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless If Possible, its co-founders, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or inability to use the Services
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property rights, privacy rights, or contractual rights
• Any AI-generated output you use, publish, or distribute
• Any decisions made by your organization based on our Services

Termination

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including if you violate these Terms. Upon termination:

• Your right to access the Services ends immediately
• We may delete your account and any data associated with it, subject to applicable law and our retention obligations
• Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive

You may terminate your account at any time by contacting us at [email protected]. Refund eligibility is governed by the Fulfillment Policy.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.

Dispute Resolution

You and If Possible agree that any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration, conducted in Ashland County, Ohio, in accordance with the rules of the American Arbitration Association (AAA). Each party will bear its own costs and attorneys' fees, except as the arbitrator may award.

You waive your right to participate in any class action, collective action, or representative proceeding against If Possible.

Either party may seek injunctive relief in a court of competent jurisdiction for actual or threatened infringement of intellectual property rights without waiving the right to arbitrate other disputes.

Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on our website with a revised effective date. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.
